Share Incentive Plan & Issue of Equity

The Company confirms that a Free Share Award has been made to all UK employees to the value of £3,600, the equivalent of 3,673 ordinary shares of 1p each per employee (“Ordinary Shares”). Following this award, Richard Parris and Andrew Walker have the following interests in the share capital of the Company:

* The interests of Richard Parris include those of Jayne Murphy, a connected person.

 Subsequent to the Free Share Award, application has been made for the 379,542 Ordinary Shares (the “Free Share Award Shares”) to be admitted to trading on AIM (“Admission”). The Free Share Award Shares will rank pari passu with the existing Ordinary Shares of the Company.

Following Admission, the Company’s enlarged issued share capital will comprise 49,114,547 Ordinary Shares. The Company holds 294,000 Ordinary Shares in treasury, therefore the total number of voting rights in the Company will be 48,820,547.

The figure of 48,820,547 may be used by shareholders in the Company as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change in their interest in, the share capital of the Company under the FCA’s Disclosure and Transparency Rules.
