The Company’s issued share capital consists of 50,523,926 ordinary shares with a nominal value of one penny each (“Ordinary Shares”), each share having equal voting rights.
The Company currently holds 41,645 Ordinary Shares in treasury. Therefore the total number of Ordinary Shares with voting rights is 50,482,281.

Jacques Tredoux is interested in 1,463,216 shares that are registered in the name of Pershing Nominees Limited, which is a nominee of Angus Investment Holdings Limited (“Angus”). Angus is controlled by The South Hills Trust. As at 18 December 2018, Jacques Tredoux was also interested in 11,852,540 shares indirectly held by The Azalia Trust. Jacques Tredoux and his wife and children are members of the class of discretionary beneficiaries of both The South Hills Trust and The Azalia Trust.

The Link Market Services Trustees Nominees shareholding relates to the Intercede Share Incentive Plan (“SIP”) which has been set up for UK employees (including directors). The AM Walker shareholding includes 40,043 shares that are also included within the Link Market Services Trustees Nominees shareholding.
In accordance with AIM Rule 26, as at 18 December 2018 the percentage of the Company’s issued share capital that is not in public hands is 45.2%. This constitutes treasury shares, shares held by the trustees of Intercede's SIP, shares held by the directors and their immediate families, and any shareholdings greater than 10%.
