Intercede was notified on 23 January 2015 that Ian Drew, a non-executive director of the Company, has purchased the following ordinary shares of 1 pence each (“Ordinary Shares”) in the Company:

Date of transaction Type of transaction Number of Ordinary Shares transacted Transaction price (pence)
23 January 2015 Purchase 26,000 114.0

Following these transactions Mr Drew’s interest in Intercede consists of 73,000 Ordinary Shares, representing 0.15% of the issued share capital of the Company.

Notice is also given that Mr Drew will be resigning from the Intercede Board to pursue an expanded role with his current employer, ARM Holdings plc.

Chairman Richard Parris said, “Ian has been an exemplary NED on the Intercede Board and in a short time he has made a big impact on the Company. The Board thanks him for his dedication to growing the Intercede business. He has helped Intercede to create momentum in the mobile security ecosystem that will continue to accelerate through the coming year. I am also confident we will continue to consolidate a strong position within the ARM ecosystem.”

Ian Drew said, “It has been a privilege to be a member of the Intercede Board for the last two years. Intercede is a rapidly rising star in the UK technology industry and is building a strategically important position on the international mobile and IOT cyber security stage. Unfortunately, new commitments at ARM make my role on the Intercede Board untenable.”
